Echo Trader Affiliate Program

1. Introduction

This Affiliate Program Agreement (“Agreement”) governs your participation as an affiliate (“Affiliate”) in the Echo Trader Affiliate Program (“Program”) operated by Echo Trader, Inc. (“Echo Trader”, “we”, “us”, or “our”), accessible at www.echotrader.io.

The Program allows approved participants to earn commissions by referring new users to subscribe to Echo Trader’s paid services. By applying to or participating in the Program, you agree to be bound by these Terms & Conditions.

Commission: Affiliates earn a 15% recurring commission on each active subscription made by users they refer, for as long as those users remain subscribed. For high-volume or strategic partners, customized commission rates may be negotiated in a separate written addendum.

2. Definitions

• Agreement: These Echo Trader Affiliate Program Terms & Conditions, including all schedules and addenda.
• Echo Trader: Refers to the platform available at www.echotrader.io, its subdomains, and all related services and entities, including Echo Trader, Inc.
• Affiliate: An individual or entity approved to participate in the Program.
• Commission: Fees payable to the Affiliate as described in Section 5.
• Referred User: A new user who subscribes to Echo Trader’s paid services through the Affiliate’s unique referral link.
• Effective Date: The date on which the Affiliate is approved and accepts this Agreement.
• Term: The duration of this Agreement, as defined in Section 4.

3. Program Eligibility & Application

Participation in the Echo Trader Affiliate Program requires an application and approval. Echo Trader reserves the right to accept or reject any application at its sole discretion.

To be eligible, applicants must:

• Maintain an active community, content channel, or platform relevant to trading, prop firms, or financial technology
• Agree to these Terms & Conditions in full
• Be at least 18 years of age
• Not be a direct competitor of Echo Trader

Approved Affiliates will receive access to a personalized affiliate portal and unique referral link upon acceptance.

4. Commencement and Duration

This Agreement takes effect on the Effective Date and continues until terminated by either party in accordance with Section 12.

5. Commissions and Payment

5.1 Commission Structure

Affiliates earn a 15% recurring commission on each subscription payment made by a Referred User, for as long as that user maintains an active, paid subscription. Commissions are calculated on the net amount received by Echo Trader after any applicable refunds, reversals, or chargebacks.

5.2 Payout Threshold and Schedule

Commissions are paid monthly. Payouts are processed once an Affiliate’s pending balance reaches a minimum of $100. Affiliates are responsible for ensuring their payout details are current and accurate in the affiliate portal.

5.3 Clawbacks

If a Referred User’s payment is reversed, refunded, or charged back after a commission has been paid, Echo Trader reserves the right to deduct the corresponding commission amount from future payouts.

5.4 No Commission on Discounts

If a Referred User receives a discount at checkout, the Affiliate’s commission is calculated on the discounted amount actually received by Echo Trader, not the original subscription price.

5.5 Tax Responsibilities

Affiliates are solely responsible for all taxes, duties, and levies applicable to their commission earnings. Upon request, Affiliates may be required to provide tax documentation (such as a W-9 or W-8BEN) to facilitate payment.

5.6 Custom Commission Arrangements

Custom commission rates for strategic partners may be agreed upon in a separate written addendum signed by both parties. Such arrangements supersede the standard rate in Section 5.1.

6. Affiliate Obligations

6.1 Accurate Information

Affiliates must provide and maintain accurate, complete, and current information in their affiliate account at all times.

6.2 Compliance with Law

Affiliates must comply with all applicable laws and regulations, including those governing advertising, endorsements, and social media disclosures (e.g., FTC guidelines requiring disclosure of affiliate relationships).

6.3 Ethical Marketing

Affiliates must promote Echo Trader honestly and accurately. Prohibited practices include:

• Spam emails or unsolicited messages
• Automated bots, click farms, or artificial traffic generation
• Misleading claims, false comparisons, or exaggerated statements about Echo Trader’s features or results
• Paid search advertising bidding on “Echo Trader” or close variants of our brand name
• Promotion through websites or channels containing unlawful, offensive, or harmful content
• Fabricated testimonials, screenshots, or claimed results
• Representing Echo Trader as a guaranteed path to profits or as a replacement for trading skill
• Promoting Echo Trader alongside pump-and-dump schemes, unlicensed signal services, “get rich” schemes, or content designed to mislead traders about the nature of market risk

6.4 Single Account

Affiliates may maintain only one affiliate account. Creating multiple accounts is prohibited and may result in immediate termination and forfeiture of commissions.

6.5 Notification of Material Changes

Affiliates must promptly notify Echo Trader of any material changes in their circumstances, including legal proceedings, that could reasonably affect their ability to perform under this Agreement.

6.6 Trading-Specific Compliance

Because Echo Trader is a tool used in connection with futures trading, Affiliates must comply with all applicable rules of the Commodity Futures Trading Commission (CFTC), National Futures Association (NFA), and any other regulator with jurisdiction over their promotional activity. Specifically, Affiliates must not:

• Guarantee, promise, or otherwise represent that use of Echo Trader will result in trading profits, positive returns, or specific account performance.
• Promote Echo Trader as investment advice, a trading signal service, or a substitute for the Affiliate’s or the user’s own trading judgment.
• Solicit funds, manage trader accounts, or hold themselves out as a licensed broker, futures commission merchant, commodity trading advisor, or investment advisor on the basis of their Echo Trader affiliation.

Echo Trader is a software tool for copying, journaling, and managing futures trades. Affiliates must represent it as such.

6.7 User Data

Affiliates must not collect, store, scrape, or use Echo Trader users’ personal information (including email addresses, account names, or any data obtained through Echo Trader’s community channels) for any purpose beyond attribution tracking through the Program. Affiliates may not build mailing lists, contact lists, or marketing databases from Echo Trader users without those users’ independent consent obtained outside the Program.

6.8 Non-Solicitation and Non-Interference

During the term of this Agreement and for two (2) years following its termination, Affiliates shall not directly or indirectly: (i) solicit or induce any employee or independent contractor of Echo Trader to leave their employment or engagement; (ii) interfere with the relationships between Echo Trader and its employees or contractors; (iii) hire or engage any such employee or contractor; or (iv) attempt to establish business relationships with any user of Echo Trader’s platform or any customer of Echo Trader for the purpose of promoting, selling, or providing competing products or services. This restriction does not apply to general advertising or promotional activity not specifically targeted at Echo Trader personnel or the Echo Trader customer base.

For the avoidance of doubt, this section does not restrict Affiliates from providing educational content, coaching, mentorship, or other services to Echo Trader users that do not directly compete with Echo Trader’s software product.

7. Affiliate Warranties

By participating in the Program, the Affiliate warrants that:

• They have full legal capacity and authority to enter into this Agreement
• They are 18 years of age or older
• Their promotional content does not infringe any third-party intellectual property rights
• Their content is not defamatory, obscene, or unlawful
• They have not used artificial means to inflate follower counts or engagement metrics
• They will clearly disclose their affiliate relationship with Echo Trader in all promotional content

8. Intellectual Property

8.1 License to Use Echo Trader Trademarks

Echo Trader grants Affiliates a limited, non-exclusive, revocable license to use Echo Trader’s trademarks, logos, and brand assets solely for the purpose of promoting the Program in accordance with this Agreement and any brand guidelines provided by Echo Trader.

8.2 License Grant from Affiliate

Affiliates grant Echo Trader a perpetual, royalty-free license to use content created by the Affiliate in connection with the Program for marketing and promotional purposes.

8.3 Restrictions

Affiliates may not modify, alter, or create derivative works from Echo Trader’s brand assets without prior written consent. All intellectual property rights in Echo Trader’s materials remain exclusively with Echo Trader.

8.4 Termination of License

Upon termination of this Agreement, the Affiliate’s license to use Echo Trader’s brand assets ceases immediately. All materials must be removed from Affiliate channels within 7 days of termination.

9. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party, including commission rates, business strategies, and user data, and not to disclose such information to any third party without prior written consent. This obligation survives termination of this Agreement.

10. Limitation of Liability

Echo Trader’s total liability to the Affiliate under this Agreement shall not exceed the total commissions paid to the Affiliate in the three (3) months preceding the claim. Echo Trader shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or business opportunity.

Echo Trader shall not be responsible for the actions, statements, or omissions of the Affiliate. The Affiliate agrees to indemnify and hold Echo Trader harmless from any claims, losses, or expenses arising from the Affiliate’s participation in the Program or breach of this Agreement.

11. No Representations on Behalf of Echo Trader

Affiliates are not authorized to make representations, warranties, or commitments on behalf of Echo Trader. Any inquiries from potential customers about Echo Trader’s product, pricing, or terms must be referred directly to Echo Trader.

12. Termination

12.1 Termination by Echo Trader

Echo Trader may terminate this Agreement immediately and without cause, or upon any breach by the Affiliate. Upon termination, all referral links will be deactivated and no further commissions will accrue.

12.2 Termination by Affiliate

Affiliates may terminate this Agreement at any time by providing 15 days’ written notice to Echo Trader.

12.3 Inactivity

Echo Trader reserves the right to terminate recurring commissions or deactivate an Affiliate’s account if no referral activity is recorded for a period of 12 consecutive months.

12.4 Surviving Provisions

Sections relating to confidentiality, intellectual property, limitation of liability, indemnity, and any outstanding payment obligations survive termination of this Agreement.

13. Miscellaneous

13.1 Independent Contractor

The Affiliate is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the Affiliate and Echo Trader.

13.2 Amendments

Echo Trader reserves the right to modify these Terms & Conditions at any time. Affiliates will be notified of material changes via email. Continued participation in the Program after such notice constitutes acceptance of the updated terms.

13.3 Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the Affiliate Program and supersedes all prior discussions, understandings, or agreements.

13.4 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the State of Colorado, United States.

13.5 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.6 Assignment

Affiliates may not assign or transfer their rights or obligations under this Agreement without prior written consent from Echo Trader. Echo Trader may assign this Agreement at any time without notice.

13.7 Anti-Fraud

Echo Trader reserves the right to investigate suspected fraud, self-referrals, or abuse of the Program. Any commissions found to have been earned fraudulently will be forfeited, and the Affiliate’s account may be terminated immediately.

Schedule 1: Code of Conduct

Affiliates agree to the following standards of conduct at all times:

• Accurate Representation. Affiliates must represent Echo Trader’s product accurately. Claims about features, performance, or results must be truthful and not misleading.
• Disclosure. Affiliates must clearly disclose their affiliate relationship in all promotional content, in compliance with applicable advertising standards and FTC guidelines.
• No Disparagement. Affiliates must not make derogatory, defamatory, or disparaging statements about Echo Trader, its team, its users, or its competitors.
• No Prohibited Channels. Affiliates must not promote Echo Trader through spam, unsolicited messages, bot traffic, or any deceptive marketing tactics.
• Brand Guidelines. Affiliates must adhere to Echo Trader’s brand guidelines when using logos, screenshots, or other brand assets in promotional content.
• Compliance. Affiliates must comply with all applicable laws, platform terms of service, and community guidelines when promoting Echo Trader.
